FlexiEats Terms of Use

1. Marketplace responsibilities

FlexiEats supplies marketplace technology connecting customers with independent restaurants, chefs, cooks, and other eligible food sellers. Sellers are responsible for preparing, packaging, describing, and fulfilling their food and services and arranging the delivery they offer. FlexiEats does not prepare food, inspect kitchens, or employ sellers. A listing, document review, or platform badge is not a guarantee of food safety, licensing, insurance coverage, or seller performance.

Keep account and business information accurate, protect account access, and report suspected unauthorized use. Do not publish unlawful or misleading listings, manipulate orders or reviews, impersonate another business, or misuse another person’s information.

2. Seller compliance affirmation

By accepting the seller acknowledgments and posting, you affirm the following for your business and every item you offer:

1. Permits and food safety. You hold and maintain every license, health permit, registration, and food-safety certification required for your food, preparation location, service method, and each area you serve. You meet applicable food handling, labeling, allergen, storage, transport, tax, and consumer-protection requirements. ServSafe or an equivalent certificate does not replace any separately required permit or authorize otherwise prohibited food sales.
2. Insurance. You carry and maintain liability insurance covering your food and services, including applicable food-related claims. You are responsible for adequate coverage and exclusions and for providing accurate evidence when requested. Self-reporting or uploading a document does not guarantee coverage or constitute an endorsement by FlexiEats.
3. Accurate listings and accountability. You have the rights described in section 3, comply with these Terms and applicable law, accept the repost arrangements in section 4, and undertake the indemnification obligations in section 7. Keep ingredients, allergens, prices, availability, preparation location, seller identity, and fulfillment terms accurate. Notify affected customers and FlexiEats promptly of a safety concern, recall, loss of required credentials or coverage, or inability to fulfill an order.

FlexiEats may request supporting documents, restrict listings, suspend selling or reposting, or remove content when reasonably necessary to address inaccurate information, safety concerns, suspected fraud, rights complaints, or violations. You remain responsible for compliance while any review is pending.

3. Content ownership and rights

You retain ownership of your content. You represent that you own or have sufficient rights to publish your listing, photos, video, audio, business name, and other material and to grant the rights in these Terms. Do not upload third-party material whose license prohibits the uses you authorize here.

When you accept these Terms and post, you grant FlexiEats a nonexclusive, worldwide, royalty-free license to host, store, reproduce, display, distribute, and technically format your posted content to operate and promote the marketplace, including the eligible customer reposts, collections, sharing, and promotions described in section 4. FlexiEats may sublicense those limited uses to its service providers and eligible resellers through supported platform features. This is not an ownership transfer or an unrestricted license to use your brand outside those purposes.

We do not authorize alteration of the substance of your original listing, its source identity, or your underlying seller price. Technical processing such as encoding, resizing, or generating thumbnails is permitted without materially misrepresenting the content. Creators may publish their own separate reviews or media but may not attribute their statements to you, invent your endorsement, or misrepresent your food.

4. Customer reposts, creator rewards, and menu collections

Posting includes repost authorization. By accepting these Terms and posting an item, you authorize FlexiEats to make that listing available for eligible customers—including creators and food testers—to repost, feature in their menu collections, share by link, and promote through supported platform features. No separate seller approval is required for each authorized repost, collection inclusion, or promotion. Sellers do not have a separate veto over uses within this authorization; unlawful, inaccurate, infringing, or unsafe uses may still be reported.

• Purchase and review first. A reseller must first complete a qualifying purchase of the same item and submit a genuine review linked to that purchase. Orders or reviews involving fraud, disqualifying refunds, or disputes do not establish eligibility. A favorable rating is not required; incentives may not be conditioned on positive sentiment.
• Creator markup. Eligible resellers may add a markup of up to US $2.00 per eligible item unit purchased through their repost. This rewards their promotional work without changing the original seller’s underlying item price. Applicable marketplace fees still apply. The customer-facing item price must include the markup, and other applicable charges must be disclosed before payment.
• Collections and source credit. A customer does not need to operate a restaurant to curate a menu collection. Collections may mix the owner’s original items and eligible reposts from other sellers. The original restaurant or food seller must remain identified on the item. A collection name does not transfer ownership of the food business or suggest the collection owner prepares other sellers’ food.
• Original seller fulfills. An order placed through a repost is routed to the original seller for acceptance and fulfillment. The reseller earns an eligible promotional reward and does not become the food supplier merely by reposting. This authorization concerns listings and new seller-fulfilled orders; it does not authorize a customer to physically resell a previously purchased meal.
• Truthful promotion. Reviews and endorsements must reflect genuine experience. Creators must clearly disclose their financial interest where required, including that they may earn from purchases. Source attribution alone does not replace a compensation disclosure. Honest criticism must not be suppressed or penalized.
• Settlement. Rewards depend on qualifying completed transactions and the applicable payment arrangement. They are not guaranteed merely because an item is posted, viewed, or ordered. Cancellations, refunds, disputes, fraud, and adjustments can reduce, reverse, or prevent rewards. Accepting these Terms does not separately approve any cash commission arrangement or override its required acceptance.

Collections and paid promotion are available only where supported by the platform and remain subject to eligibility, availability, and the promotion terms shown at purchase. This license does not guarantee reach, sales, payout timing, or access to an unreleased feature.

Duration and removal. This authorization applies while your listing remains available. Removing a source listing or closing your account ends authorization for new reposts and new promotions of that listing. Reasonable technical wind-down, backups, records required for disputes or legal compliance, and completion of existing orders may continue; removal does not retroactively cancel lawful prior uses or outstanding obligations. Report stale, inaccurate, or infringing copies through the reporting tools or support@flexieats.com. We may restrict affected content while reviewing a report.

5. Payments, receipt confirmation, and refunds

Digital checkout uses supported wallets such as Apple Pay and Google Pay through Stripe. Where offered, cash is a separate payment method with its own settlement arrangements. Available methods and charges are shown for the order. Wallet authentication reduces some risks but does not eliminate fraud or lawful payment disputes.

For applicable digital orders, payment is authorized before fulfillment and captured when the seller verifies the buyer’s receipt PIN. Provide the PIN only after receiving your order. The PIN is evidence of handover, not a waiver of hidden defects, safety concerns, refund eligibility, or statutory rights. Transfers and payouts remain subject to processor rules and timing; they are not guaranteed to be instantaneous.

The Refund & Cancellation Policy governs cancellations, requests for refunds, and payment adjustments. After PIN-confirmed receipt, ordinary refund requests require the original seller’s approval. FlexiEats may facilitate communication and process a seller-approved refund; it does not independently grant routine post-PIN refunds. This approval rule does not prevent refunds or reversals required by applicable law or payment-provider rules. Sellers must cooperate with legitimate complaints and refund investigations.

6. Privacy and communications

The Privacy Policy explains the handling of account, order, compliance, and repost-related information. Do not misuse fulfillment information or publish another person’s private information. Use account notices and support channels to keep us informed of compliance and safety issues.

7. Indemnification and limits of responsibility

To the extent permitted by applicable law, sellers and creators will indemnify and hold harmless Quantivant Holdings Inc, its affiliates, officers, and employees from third-party claims, damages, liabilities, and reasonable defense costs caused by their breach of these Terms, unlawful conduct, infringement, misleading promotion, or negligent or wrongful food preparation, handling, or fulfillment. This obligation applies to the extent of that person’s responsibility; it does not require indemnification for FlexiEats’ own unlawful conduct or liability that cannot lawfully be shifted.

We will provide reasonable notice of covered claims and reasonable cooperation. No settlement may impose an admission or nonmonetary obligation on another party without its consent. Nothing here penalizes a good-faith complaint, honest review, or lawful dispute.

To the maximum extent permitted by law, FlexiEats does not warrant independent sellers’ food, services, or performance and is not responsible for losses caused by their acts or omissions. No exclusion in these Terms waives nonwaivable consumer rights or excludes liability where the law prohibits doing so.

8. Schedule A — Private Chef & Private Cook Addendum

The existing Private Chef & Private Cook Addendum is incorporated into these Terms and applies to applicable private chef, private cook, and home-based catering transactions. That linked document is the full Schedule A; it governs those additional obligations together with these Terms.

9. Changes, governing law, and contact

Material revisions will be presented for renewed acceptance before they govern future seller postings. Prior acceptance is not evidence of agreement to a later revision. These Terms are governed by Delaware law, subject to mandatory protections applicable where you live or operate. If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law.
