Terms of Use

1. Acceptance of Terms

By accessing and using FlexiEats ("Platform"), you accept and agree to be bound by these Terms of Use. If you do not agree to these terms, you may not use the Platform.

2. Platform Description

FlexiEats is a technology marketplace that connects food sellers (restaurants, private chefs, private cooks, and caterers) with customers seeking food services. FlexiEats does not prepare, store, or deliver food.

3. User Eligibility

You must be at least 18 years old to create an account on FlexiEats. By creating an account, you represent and warrant that you are at least 18 years of age.

4. Seller Obligations

If you are a Seller, you agree to:

  • Provide accurate information about your business type and food safety credentials
  • Comply with all applicable federal, state, and local food safety laws and regulations
  • Upload valid food licenses, health permits, or ServSafe certifications as required
  • Maintain general liability insurance covering food-related claims
  • Accurately describe all menu items, including ingredients and potential allergens
  • Fulfill orders in a timely manner and maintain food quality standards

5. Customer Obligations

If you are a Customer, you agree to:

  • Provide accurate delivery information
  • Pay for all orders placed through your account
  • Read and acknowledge any special notices about private chef or private cook services
  • Report any food safety concerns immediately

6. Payment Terms

FlexiEats facilitates payment processing through third-party payment providers (Stripe, USDC crypto payments). Platform fees of up to 5% may apply to transactions. Customers may be charged before food preparation begins.

7. Cancellation & Refunds

Cancellation and refund policies vary by seller. Customers should contact sellers directly for cancellations. FlexiEats may facilitate refunds in cases of seller non-performance or food safety violations.

8. Platform Role & Liability Disclaimer

FlexiEats is a marketplace platform only. We do not:

  • Prepare, inspect, or handle food
  • Employ or supervise sellers
  • Guarantee food quality, safety, or compliance with regulations
  • Control seller operations or preparation methods

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLEXIEATS DISCLAIMS ALL LIABILITY FOR:

  • Foodborne illness or allergic reactions
  • Quality, safety, or preparation of food
  • Seller compliance with applicable laws
  • Property damage caused by sellers
  • Disputes between customers and sellers

9. Account Suspension & Termination

FlexiEats reserves the right to suspend or terminate any account at any time for violations of these Terms, fraudulent activity, food safety violations, or any other reason at our sole discretion.

10. Indemnification

You agree to indemnify and hold harmless FlexiEats, its officers, directors, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from your use of the Platform or your violation of these Terms.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware. Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.

12. Changes to Terms

FlexiEats may modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
