FlexiEats Terms of Use

Effective Date: November 21, 2025

By creating an account or using the FlexiEats platform, you explicitly agree to these Terms of Use and all schedules attached herein. These Terms constitute a legally binding agreement between you and Quantivant LLC (doing business as "FlexiEats", "we", "us", or "our").

1. General Platform Rules

  • You must be 18 years of age or older, and you are solely responsible for all activity conducted under your account.
  • Marketplace Status: FlexiEats operates exclusively as a technology marketplace. We provide the software to connect hungry customers with local culinary creators. We do not own, prepare, package, or deliver any food items.
  • Independent Contractors: All sellers utilizing the platform are independent third-party contractors. They are not employees, agents, representatives, or joint venturers of FlexiEats.

2. Two Types of Sellers

FlexiEats supports diverse culinary entrepreneurs across two distinct categories:

  • A. Licensed Restaurants: Commercial entities operating under traditional municipal food establishment permits subject to standard health inspections.
  • B. Private Chefs & Private Cooks: Independent culinary service providers operating out of private locations or cottage kitchens, strictly governed by the rules outlined in Schedule A below.

3. Payments, Refunds, and the 4-Digit PIN System

To completely eradicate stolen credit card fraud and protect both our buyers and sellers, FlexiEats strictly operates as a Digital-Wallet-Only platform. We exclusively accept Apple Pay and Google Pay. By forcing biometric or device-level authentication for every purchase, we ensure an unparalleled level of payment security.

All transactions processed through our platform utilize Stripe Connect. When an order is placed via your digital wallet, funds are only authorized.

  • The 4-Digit PIN: Buyers receive a unique 4-digit PIN which acts as a digital signature of receipt. By providing this PIN to the Seller upon pickup or delivery, the Buyer legally confirms the order has been fulfilled satisfactorily.
  • Transfer of Funds: Once the PIN is entered by the Seller, the authorized funds are officially captured by Stripe, the FlexiEats platform fee is deducted, and the remaining balance is instantly routed to the Seller's connected account.
  • Post-Fulfillment Disputes: Because FlexiEats does not hold the funds post-capture, we are fully indemnified against and not responsible for any refunds occurring after the 4-digit PIN is verified. Any subsequent refunds must be negotiated and executed solely between the Buyer and the Seller.

4. Privacy and Data

5. Limitation of Liability

To the maximum extent permitted by applicable law, FlexiEats is not liable for any damages, illnesses, allergic reactions, injuries, or losses resulting from the preparation, quality, or consumption of food or services purchased through the platform, nor for any acts or omissions of the independent sellers.

6. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.


SCHEDULE A – Private Chef & Private Cook Addendum

(This schedule forms an inherent part of the Terms of Use and applies automatically to all orders placed with Private Chefs or Private Cooks)

A1. Nature of Transaction

You acknowledge that when ordering from a Private Chef or Private Cook, you are purchasing personalized culinary services from an independent provider, rather than buying traditional wholesale or retail food products.

A2. Service Delivery Methods

Private Chefs and Cooks may offer customized services via the following methods:

  • Cooking directly at your private residential location (In-home catering).
  • Preparation in the chef's private uninspected home kitchen, followed by delivery.
  • Preparation in the chef's private uninspected home kitchen, followed by customer pickup.

A3. Required Seller Standards

To maintain marketplace integrity, every Private Chef and Private Cook operating on FlexiEats unconditionally agrees to:

  • Hold a currently valid and verified ServSafe Food Handler or ServSafe Manager certificate.
  • Digitally sign and accept the strictly enforced FlexiEats Seller Compliance Affirmation prior to listing any menus.
  • Comply entirely with all local cottage food laws, private chef regulations, and municipal tax codes relevant to their operational jurisdiction.

A4. Buyer Acknowledgments

By completing a purchase from a Private Chef or Cook, you (the Buyer) acknowledge and agree to the following for every single transaction:

  • Food may be prepared in a private home kitchen that is not subject to state or county health inspections.
  • You assume all inherent risks associated with food safety, dietary restrictions, and cross-contamination allergies.
  • You agree that you are requesting and consuming the food strictly for personal use and will not resell the items to third parties.
  • You explicitly and entirely release FlexiEats from any and all liability for illness, injury, or damage arising from the transaction.

A5. Indemnification

Both Buyers and Sellers agree to indemnify, defend, and hold harmless Quantivant LLC (DBA FlexiEats), its corporate affiliates, officers, and employees against any claims, damages, liabilities, illnesses, or regulatory actions arising out of the culinary services or food items exchanged via the platform.
